1. Agreement to these Terms
These Terms Of Service govern access to and use of Authari websites, accounts, design tools, resources, forms, checkout flows, account settings, projects, order pages, integrations, and related services. By using Authari, creating an account, submitting a form, connecting an integration, purchasing a plan, or using any tool, you agree to these Terms.
If you use Authari for a company, client, studio, agency, or other organization, you confirm that you are authorized to accept these Terms for that organization. If you do not agree, do not use Authari.
Authari is a design tool and workflow platform. It is not legal, tax, financial, accounting, printing compliance, trademark clearance, or professional business advice. You are responsible for reviewing outputs and deciding whether they are suitable for your intended use.
2. The Authari services
Authari may provide landing pages, educational resources, account pages, project pages, order pages, contact forms, pricing pages, article pages, integrations, and design utilities including brand guide generation, logo kit export workflows, two-tone image treatment, color palette tools, color boards, gradient tools, contrast analysis, and related design helpers.
Some tools may run entirely in the browser. Some account, payment, analytics, marketing, project, order, support, or integration functions may require network communication with Authari or third-party providers. If a feature materially changes how data is handled, we aim to disclose that through product UI, documentation, or the Privacy Policy.
3. Local-first design tools and privacy promise
Your creations belong to you. Authari is designed to do as much work as reasonably possible locally on your device. Files, palettes, logo work, gradients, images, brand guide inputs, contrast checks, and other creative assets used inside local design tools are intended to be visible only to you in your browser unless you intentionally export, download, share, submit, connect, upload, purchase, or otherwise send them somewhere.
Uploaded tool content is not uploaded to Authari by default. When you drag, select, or input a file into a local design tool, the tool may process it in your browser memory or local session. Authari does not claim ownership of that content, does not use your creations to train models, does not sell your creations, and does not reuse your creations for our own marketing, portfolios, templates, or datasets without your separate permission.
Local-first does not mean every feature is offline. Examples of features that may send data outside your device include account login, contact forms, newsletter consent, payment checkout, analytics, support requests, connected Google Drive actions, hosted project storage if enabled, or any future collaboration/share feature that clearly requires transmission.
4. Accounts, profile, projects, and orders
You may need an account to access saved projects, profile settings, order history, subscriptions, invoices, integrations, or account-only tools. You must provide accurate information, keep credentials confidential, and notify us if you believe your account has been compromised.
You are responsible for activity under your account, including activity by team members, contractors, clients, or others you invite. We may suspend or restrict access if we reasonably believe an account is used unlawfully, fraudulently, abusively, or in a way that risks harm to Authari, users, payment providers, third-party services, or the public.
Project and order features may display names, statuses, files, notes, previews, reorder information, delivery information, invoice records, or customer support history. Where such information is stored by Authari, it is handled under the Privacy Policy and applicable data protection law.
5. Your content, uploads, copyright, and permissions
"User Content" means anything you create, upload, enter, import, generate, edit, process, download, submit, or connect through Authari, including images, logos, marks, brand names, files, palettes, gradients, text, documents, project names, messages, and design outputs.
You keep all rights you already have in User Content. Authari does not acquire ownership of your uploaded content or generated creations. For local-first tools, you do not grant Authari a license to inspect, host, reuse, train on, publish, sell, or distribute your creations merely by using the tool locally.
When you intentionally submit content to Authari, for example through a contact form, support request, order, hosted project, account field, payment flow, or integration request, you grant Authari the limited permission needed to provide the requested service, process the request, comply with law, prevent abuse, secure the service, and communicate with you.
You represent that you have the rights needed to use and process User Content in Authari. You must not upload, submit, export, or share content that infringes copyright, trademark, privacy, publicity, design rights, trade secrets, contractual duties, or applicable law. You are responsible for trademark searches, print-rights clearance, model releases, font licenses, stock licenses, client approvals, and production compliance.
Authari may remove or restrict access to submitted or hosted content if we receive a credible infringement complaint, legal notice, court order, regulator request, or believe the content creates legal, security, or platform risk.
6. Acceptable use
You may not misuse Authari. Prohibited conduct includes attempting to bypass security, reverse engineer non-public systems, overload infrastructure, scrape the service in violation of law or technical controls, upload malware, impersonate others, interfere with other users, submit fraudulent payment information, violate export or sanctions laws, or use Authari to create, host, or distribute unlawful, deceptive, infringing, harmful, or abusive material.
You may not use Authari outputs in a way that falsely suggests Authari endorsement, certification, or partnership. You are responsible for final review of any design, brand guide, color palette, contrast result, image treatment, logo export, print file, or generated copy before using it commercially.
7. Forms, messages, and submitted data
When you submit a message, contact request, support request, newsletter signup, quote request, feedback form, account form, project form, order form, or other form, you agree that the information you submit may be used to respond, provide the requested service, operate and improve Authari, maintain records, prevent abuse, and comply with legal obligations.
Do not submit sensitive personal data unless the form specifically asks for it and it is necessary. Sensitive data may include government identifiers, financial account details, health data, biometric data, precise location, passwords, confidential client data, or special-category data under GDPR.
8. Pricing, payments, subscriptions, taxes, and refunds
Paid plans, one-time purchases, lifetime plans, add-ons, print services, or other paid features may be offered through Authari. Prices, taxes, included features, storage limits, delivery options, reorder windows, and availability may change unless a written offer states otherwise.
Payments may be processed by third-party payment processors. Authari does not need to store full card numbers when a processor handles payment data. You authorize us and our payment providers to charge the selected payment method for purchases, renewals, taxes, and fees you approve.
Subscriptions renew until cancelled unless stated otherwise. You are responsible for cancelling before renewal if you do not want the next charge. Refunds, if any, are handled according to the offer, checkout terms, applicable consumer law, and our support review.
Taxes may depend on your billing address, business status, VAT/GST/sales tax registration, and local law. You are responsible for accurate billing information and any taxes not collected at checkout.
9. Google Drive and third-party integrations
If you connect Google Drive or another third-party integration, you authorize Authari or the relevant local tool to request the permissions shown in the connection flow. Depending on the feature, this may allow selecting, reading, saving, exporting, or syncing files that you choose.
We aim to request the narrowest permissions practical for the feature. You are responsible for the files and folders you choose, your third-party account settings, and compliance with the third party's terms. You can usually revoke access through the third-party account permissions page.
Third-party services are not controlled by Authari. We are not responsible for outages, data handling, policy changes, security incidents, or feature changes by Google, payment processors, analytics providers, email providers, hosting providers, or other services.
10. Intellectual property owned by Authari
Authari, its site design, interface, software, workflows, visual identity, text, templates, icons, documentation, page layouts, and brand assets are owned by Authari or its licensors and are protected by copyright, trademark, trade dress, database, and other laws. Except for rights expressly granted to you, we reserve all rights.
You may not copy, resell, sublicense, repackage, or create a competing service from Authari's non-public software, visual system, or documentation without permission. You may use outputs you create with Authari subject to these Terms and any third-party rights in your inputs.
11. Privacy and data protection
Our Privacy Policy explains what personal data we collect, why we collect it, lawful bases under GDPR, how long we keep it, how we use processors, how international transfers may work, and what privacy rights may apply in Europe, the United Kingdom, the United States, and other regions.
By using Authari, you acknowledge that the Privacy Policy applies to personal data handled through the service. If you process personal data of clients or third parties through Authari, you are responsible for having a lawful basis, notices, permissions, and agreements required for that processing.
12. Service availability and changes
Authari may change, suspend, limit, replace, or discontinue features. We aim to avoid unnecessary disruption, but we do not guarantee that every feature, integration, price, plan, article, design tool, or local workflow will always remain available.
We may update these Terms from time to time. If changes are material, we will use reasonable efforts to notify users through the site, account, email, or another appropriate method. Continued use after the effective date means you accept the updated Terms.
13. Disclaimers, liability, and indemnity
Authari is provided on an "as is" and "as available" basis to the fullest extent permitted by law. We do not guarantee uninterrupted operation, error-free outputs, perfect color accuracy, print suitability, trademark availability, legal compliance of your designs, or that any tool output will meet your business requirements.
To the fullest extent permitted by law, Authari and its owners, employees, contractors, and providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, lost profits, lost revenue, lost data, business interruption, reputational harm, or procurement of substitute services.
Where liability cannot be excluded, our aggregate liability will be limited to the amount you paid to Authari for the service giving rise to the claim during the 12 months before the claim, or EUR 100 if you used only free services, unless applicable law requires a higher amount.
You agree to indemnify Authari against claims, damages, liabilities, losses, and expenses arising from your User Content, misuse of Authari, violation of these Terms, infringement of third-party rights, unlawful data processing, or breach of client, licensing, or regulatory obligations.
14. Governing law, consumers, and disputes
These Terms are intended to work for users in Europe, the United States, and other regions. Mandatory consumer protection rights, privacy rights, and local laws may apply regardless of this section.
If Authari is operated from Romania or the European Union, Romanian law and applicable EU law may govern business disputes unless mandatory law provides otherwise. If you are a consumer, you may have rights to bring claims in your country or state of residence.
Before filing a claim, please contact us so we can try to resolve the issue informally. Nothing in these Terms limits rights that cannot legally be waived, including rights under GDPR, consumer law, payment law, or intellectual property law.
